Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software and services provided by Votion Platform Inc. ("Votion," "we," "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms are evolving alongside the product. Subscription-specific terms governing paid plans are set out in the Subscription Terms and prevail over these Terms for paid customers. We will provide reasonable notice of material changes.

1) Eligibility and Accounts

The Services are currently offered in the United States. You must be 18 or older and authorized to bind your organization (if you sign up on behalf of one) to create an account. You are responsible for keeping your credentials secure and for activity under your account.

2) The Services

Votion provides software to help organizations track public-sector opportunities, draft proposals and contracts, and coordinate internal workflows. Specific features available to you depend on your plan and on configuration set by your account administrator. We may change, add, or remove features over time.

3) Acceptable Use

You agree not to misuse the Services. That includes attempting to access accounts or data you are not authorized to access, interfering with the Services, scraping or reverse-engineering the platform, uploading malware, using the Services to violate any law or third-party right, or using the Services to harass others. We may suspend or terminate accounts that violate this section.

4) Customer Data

You retain ownership of the content you upload or generate through the Services ("Customer Data"). You grant Votion a limited license to host, process, and display Customer Data solely to operate and improve the Services for you. We handle Customer Data consistent with our Privacy Policy. You are responsible for ensuring you have the right to upload anything you put into the Services.

5) AI-Generated Content

The Services use AI to help draft proposals, summarize opportunities, and suggest content. AI output may be incorrect, incomplete, or out of date, and is not a substitute for professional legal, financial, or compliance advice. You are responsible for reviewing any AI-generated content before relying on it, submitting it to a counterparty, or using it in a binding context.

6) Intellectual Property

The Services, including software, designs, and trademarks, are owned by Votion or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose, subject to these Terms and any applicable order or subscription.

7) Fees and Payment

Pricing, billing terms, refund eligibility, and renewal terms for paid plans are set out in the Subscription Terms or in your order form. Free or trial access may be changed or discontinued at any time.

8) Communications

By creating an account you consent to receive transactional messages about your account and the Services by email. Marketing messages are sent only with your separate opt-in and you can unsubscribe at any time.

9) Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Votion disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement, and is not liable for indirect, incidental, or consequential damages. Votion's aggregate liability arising out of the Services will not exceed the greater of (a) the amounts you paid Votion in the twelve months preceding the claim or (b) one hundred dollars.

10) Indemnity

You agree to indemnify and hold Votion harmless from claims arising out of your Customer Data, your use of the Services in violation of these Terms, or your violation of any law or third-party right.

11) Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. The state and federal courts located in Denver County, Colorado have exclusive jurisdiction, except where applicable consumer-protection law provides otherwise.

12) Termination

You may close your account at any time. We may suspend or terminate access for violations of these Terms, legal risk, or harm to others. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnity, governing law) will survive.
